Client Services Agreement

1. Parties and definitions
"Ironwood" is Ironwood Digital LLC. "Client" is the marketing agency purchasing services. "End Client" is the Client's own customer, the business whose account, brand, or campaign the work concerns. "Platform" means the software the Client builds on, including HighLevel, and the registration systems behind it, including The Campaign Registry and the carriers. An "engagement" is one purchased service under this agreement.
2. Scope by service
Each service includes exactly what is listed here and on the offers page, nothing more, unless added in writing.
- Compliance Kit, $199. Diagnosis of the exact rejection text, the privacy policy SMS clause, consent checkbox copy, sample messages with brand and STOP/HELP language, the opt-in screenshot specification, and ownership of the resubmission until the carriers return a decision. The Client performs the in-account clicks.
- We-file-it Rescue, $349. Everything in the Compliance Kit, plus Ironwood performs the Trust Center work inside the End Client's sub-account as a named user scoped to that account.
- Sub-account Launch, $349 to $600. Snapshot deploy, number and A2P setup, dedicated sending domain with a records document for the End Client's registrar, funnel domain and SSL, integrations check, consent language on forms, and a handoff video. Priced within the range by written quote before the deposit.
- Technical Department retainer, $750 per month. A bounded monthly menu: up to 2 sub-account launches, up to 6 support tickets, one proactive maintenance pass, and one written report per month. Work beyond the menu bills at $125 per hour, approved in writing first.
- Senior-tech retainer, $297 to $497 per month. A fixed weekly availability window, up to 5 tickets per month, and a 48-hour response time. Priced within the range by written quote.
- Projects, $1,500 to $5,000. Scoped and priced in a separate written quote, which becomes part of this agreement for that engagement.
3. Pre-qualification
Every A2P engagement starts with a written pre-qualification. Ironwood may decline an engagement at pre-qualification and will state the reason in writing. A declined engagement owes nothing.
4. The deliverable
For A2P engagements, the deliverable is a submission within 48 hours of complete intake, and resubmission at no additional charge until the Platform returns a decision. Approval itself is controlled by the carriers and The Campaign Registry, and Ironwood makes no promise about their decision or its timing. "Complete intake" means every item on the written intake list has been received.
5. Fees and deposits
Fifty percent of the fee is due when pre-qualification comes back green; the balance is due at submission. If the Platform rejects a submission for a cause Ironwood did not pre-qualify as fixable, the balance is waived. The balance is not waived when the rejection falls in a permanently disallowed class, or when the Client or End Client declines to make edits Ironwood identified as required. Registry, carrier, and platform fees bill to the Client's or End Client's own account and are not Ironwood's fees.
6. Founding jobs
For Ironwood's first two A2P engagements only: no deposit is taken, and the fee is due only if and when the campaign is approved. In exchange, the Client provides a written testimonial and permission to display the approval with the End Client's identifying details blurred. If the campaign is not approved, the Client owes nothing and keeps the delivered kit.
7. Client responsibilities
The Client provides accurate information, the End Client's EIN letter where required, and timely responses to requests for edits. The authorized representative on any brand registration is the End Client's owner or officer. The Client reviews and approves every sample message and every piece of consent language in writing before Ironwood submits it.
8. Access
Platform access is granted as a named Ironwood user with the minimum role needed, scoped to the assigned sub-accounts only. Ironwood takes a snapshot before making changes. Access is revoked by the Client at the end of the engagement. Shared credentials are not accepted. Ironwood is not responsible for changes made by other users.
9. Sender of record and indemnity
The End Client is the sender of record for its messaging program and owns consent, opt-in and opt-out handling, and all messaging conduct. The Client will defend, indemnify, and hold Ironwood harmless from claims arising out of the Client's or End Client's messaging, including claims under the TCPA and equivalent state laws.
10. Non-solicitation
Ironwood will not solicit the Client's End Clients for 24 months after the last engagement ends.
11. Confidentiality
Each party keeps the other's non-public information confidential and uses it only for the engagement. Client materials, including EIN letters and account access, are deleted or revoked when the engagement ends, except records the law requires be kept.
12. Limitation of liability
Ironwood's total liability for an engagement is capped at the fees actually paid for that engagement. Neither party is liable for indirect or consequential damages, including lost revenue or lost messages.
13. Term and termination
Fixed-price engagements end on delivery. Retainers run month to month and either party may end one with 15 days' written notice. Fees for work already performed remain due.
14. Governing law, venue, and disputes
This agreement is governed by Texas law, and venue for any dispute is in Texas. Disputes under $10,000 go to small claims court or, if both parties agree, binding arbitration.
15. Acceptance
The Client accepts this agreement by checking the terms box at checkout. The checkout record and its timestamp are the record of acceptance. The version of this page current at the time of acceptance governs that engagement.
